第1条
为了规范商事调解活动,有效解决商事争议,保护当事人合法权益,促进商事调解行业发展,优化营商环境,制定本条例。
This Regulation is formulated to regulate commercial mediation activities, effectively resolve commercial disputes, protect parties’ lawful rights and interests, promote the development of the commercial mediation sector, and improve the business environment.
第2条
本条例所称商事调解活动,是指在商事调解组织主持下,当事人自愿友好协商解决贸易、投资、金融、运输、房地产、工程建设、知识产权等领域商事争议的活动。婚姻家庭、继承、监护、劳动人事、消费者权益争议以及依法应当以其他方式解决的争议,不适用商事调解。本条例所称商事调解组织,是指依照本条例规定设立,不以营利为目的开展商事调解活动的组织。
“Commercial mediation activities” refer to activities in which parties voluntarily and amicably resolve commercial disputes in trade, investment, finance, transportation, real estate, construction, intellectual property and other fields under the auspices of a commercial mediation organization. Disputes involving marriage and family, succession, guardianship, labor and personnel matters, consumer rights and interests, and disputes that shall be resolved by other means according to law are not subject to commercial mediation. “Commercial mediation organization” refers to an organization established under this Regulation that carries out commercial mediation activities on a non-profit basis.

商事调解行业发展贯彻落实党和国家路线方针政策、决策部署,坚持为民服务宗旨,服务国家高质量发展和高水平对外开放。
The development of the commercial mediation sector shall implement the lines, principles, policies, decisions and arrangements of the Party and the State, adhere to the purpose of serving the people, and serve China’s high-quality development and high-level opening-up.
第4条
国务院司法行政部门负责指导、规范全国商事调解工作,统筹规划商事调解行业发展。县级以上地方人民政府司法行政部门负责指导、规范本行政区域内商事调解工作,加强对商事调解组织开展商事调解活动的监督管理。
The judicial administrative department under the State Council is responsible for guiding and regulating commercial mediation work nationwide and for overall planning of the development of the commercial mediation sector. Local judicial administrative departments at or above the county level are responsible for guiding and regulating commercial mediation work within their administrative regions and strengthening supervision over commercial mediation activities conducted by commercial mediation organizations.

商事调解行业自律组织依照法律法规和章程开展行业自律,接受司法行政部门的指导、监督。
Self-regulatory organizations of the commercial mediation sector shall conduct industry self-regulation in accordance with laws, regulations and their charters, and shall accept guidance and supervision from judicial administrative departments.
第6条
国家培育有国际影响力的商事调解组织,提升商事调解组织的国际竞争力。司法行政部门会同有关部门加强对商事调解的宣传,推广运用调解方式解决商事争议。鼓励有条件的地区和部门结合本地区、本领域实际情况,在人才、信息、技术、资金等方面对商事调解行业发展给予支持。
The State shall cultivate commercial mediation organizations with international influence and enhance their international competitiveness. Judicial administrative departments, together with relevant departments, shall strengthen publicity on commercial mediation and promote the use of mediation to resolve commercial disputes. Regions and departments with suitable conditions are encouraged to support the development of the commercial mediation sector in terms of talent, information, technology, funding and other aspects based on local and sectoral circumstances.
第7条
国家完善商事调解与诉讼、仲裁、公证等制度的衔接机制,畅通商事争议解决途径。
The State shall improve mechanisms connecting commercial mediation with litigation, arbitration, notarization and other systems, and smooth channels for resolving commercial disputes.
第8条
设立商事调解组织,应当符合下列条件:(一)发起人为非营利法人;(二)有规范的名称,名称中含有“商事调解”字样;(三)有自己的住所和章程;(四)有30万元以上的资产;(五)有5名以上商事调解员和适当数量的专职工作人员。
To establish a commercial mediation organization, the following conditions shall be met: the sponsor shall be a non-profit legal person; the organization shall have a standardized name containing the words “commercial mediation”; it shall have its own domicile and charter; it shall have assets of more than RMB 300,000; and it shall have more than five commercial mediators and an appropriate number of full-time staff.
第9条
设立商事调解组织,应当向所在地设区的市级人民政府司法行政部门提出申请,提交设立申请书及相关材料。申请人应当对申请材料的真实性负责。受理申请的部门应当自受理之日起20个工作日内予以审查,并将初步审查意见和全部申请材料报送省、自治区、直辖市人民政府司法行政部门。省、自治区、直辖市人民政府司法行政部门应当自收到报送材料之日起20个工作日内予以审查,作出是否准予设立的决定。20个工作日内不能作出决定的,经本部门负责人批准,可以延长10个工作日,并应当将延长期限的理由告知申请人。准予设立的,向申请人颁发执业证书;不准予设立的,向申请人书面说明理由。
To establish a commercial mediation organization, an application shall be submitted to the judicial administrative department of the city divided into districts where the organization is located, together with an establishment application and relevant materials. The applicant shall be responsible for the authenticity of the application materials. The department accepting the application shall review it within 20 working days from acceptance and submit its preliminary review opinion and all application materials to the judicial administrative department of the province, autonomous region or municipality directly under the Central Government. The latter shall review the materials within 20 working days from receipt and decide whether to approve the establishment. If a decision cannot be made within 20 working days, the period may be extended by 10 working days upon approval by the department head, and the reasons for extension shall be notified to the applicant. If approved, a practice certificate shall be issued; if not approved, written reasons shall be provided.
第10条
商事调解组织变更名称、住所、章程等事项的,应当依法办理执业证书的变更手续。商事调解组织有下列情形之一的,应当依法办理执业证书的注销手续:(一)不能保持本条例规定的设立条件,经限期整改仍不符合条件;(二)终止商事调解业务活动;(三)法律、行政法规规定应当注销的其他情形。
Where a commercial mediation organization changes its name, domicile, charter or other matters, it shall complete procedures for changing its practice certificate according to law. Where a commercial mediation organization cannot maintain the establishment conditions under this Regulation and still fails to meet them after rectification within a prescribed period, terminates commercial mediation activities, or falls under other circumstances requiring deregistration under laws or administrative regulations, it shall complete procedures for deregistering its practice certificate according to law.
第11条
省、自治区、直辖市人民政府司法行政部门应当编制本行政区域内的商事调解组织名册,并向社会公布。
Judicial administrative departments of provinces, autonomous regions and municipalities directly under the Central Government shall compile and publicly disclose rosters of commercial mediation organizations within their administrative regions.
第12条
商事调解组织聘任的商事调解员应当公道正派,具备良好的专业素质。商事调解员应当符合下列条件之一:(一)通过国家统一法律职业资格考试取得法律职业资格,从事调解工作满3年;(二)从事律师、仲裁、公证工作满3年或者曾任法官、检察官满3年;(三)具有法律、经济、科学技术等相关专业知识,从事法律、经济贸易等专业工作,并具有中级以上职称或者具有同等专业水平;(四)本条例施行前已从事商事调解工作满3年,并具有大学本科以上学历。公职人员兼任商事调解员的,应当遵守法律、行政法规和国家有关规定。商事调解组织可以从具有专业影响力和公信力的境外人士中聘任商事调解员,并依照国务院司法行政部门的规定向所在地省、自治区、直辖市人民政府司法行政部门备案。
Commercial mediators appointed by commercial mediation organizations shall be fair, upright and professionally competent. A commercial mediator shall satisfy one of the following conditions: having passed the national unified legal professional qualification examination, obtained legal professional qualification, and engaged in mediation for at least three years; having worked as a lawyer, arbitrator or notary for at least three years, or having served as a judge or procurator for at least three years; having professional knowledge in law, economics, science and technology or related fields, engaging in legal, economic, trade or other professional work, and holding an intermediate or higher professional title or equivalent professional level; or having engaged in commercial mediation for at least three years before this Regulation comes into force and holding at least a bachelor’s degree. Public officials concurrently serving as commercial mediators shall comply with laws, administrative regulations and relevant state provisions. Commercial mediation organizations may appoint overseas professionals with professional influence and public credibility as commercial mediators, and shall file such appointments with the provincial judicial administrative department where they are located in accordance with provisions of the judicial administrative department under the State Council.
第13条
商事调解组织应当建立业务管理、利益冲突审查、投诉处理等内部管理制度。商事调解组织的章程、商事调解员名册、调解规则及设立、变更、注销等信息,应当及时向社会公开。
Commercial mediation organizations shall establish internal management systems including business management, conflict-of-interest review and complaint handling. Their charters, rosters of commercial mediators, mediation rules, and information on establishment, changes and deregistration shall be disclosed to the public in a timely manner.
第14条
商事调解活动应当遵循自愿、合法、诚信、保密的原则。
Commercial mediation activities shall follow the principles of voluntariness, legality, good faith and confidentiality.
第15条
发生商事争议的,当事人可以向商事调解组织申请调解。当事人一方明确拒绝调解的,不得调解。当事人可以从商事调解组织的商事调解员名册中共同选定商事调解员进行调解,或者由当事人共同委托商事调解组织推荐商事调解员进行调解。
Where a commercial dispute arises, the parties may apply to a commercial mediation organization for mediation. If one party expressly refuses mediation, mediation shall not be conducted. The parties may jointly select a commercial mediator from the organization’s roster, or jointly entrust the organization to recommend a mediator.
第16条
商事调解组织可以收取商事调解费用。商事调解组织应当按照公平、合理的原则制定商事调解费用标准,并向社会公开。
Commercial mediation organizations may charge commercial mediation fees. They shall formulate fee standards in accordance with principles of fairness and reasonableness and disclose them to the public.
第17条
商事调解员开展调解活动应当依照法律法规,可以适用行业规则、商业惯例、交易习惯等。商事调解员在调解过程中应当保持中立,勤勉尽责,遵守职业道德和执业行为规范,不得与当事人串通进行虚假调解活动。
Commercial mediators shall conduct mediation in accordance with laws and regulations and may apply industry rules, commercial practices and transaction usages. During mediation, mediators shall remain neutral, act diligently, observe professional ethics and codes of conduct, and shall not collude with parties to conduct sham mediation.
第18条
鼓励商事调解组织运用人工智能、大数据等技术手段,提高商事调解质量和效率。商事调解员与当事人协商采取在线方式进行调解的,与线下调解活动具有同等法律效力。
Commercial mediation organizations are encouraged to use artificial intelligence, big data and other technologies to improve mediation quality and efficiency. Online mediation conducted by commercial mediators in consultation with the parties shall have the same legal effect as offline mediation.
第19条
商事调解不公开进行。当事人约定公开的,可以公开进行,但涉及国家秘密、他人的商业秘密或者个人隐私的除外。商事调解组织和商事调解员对在调解过程中知悉的信息负有保密义务,但当事人均书面同意披露或者有其他依法应当披露情形的除外。
Commercial mediation shall be conducted in private. If the parties agree to public mediation, it may be conducted publicly, except where state secrets, others’ trade secrets or personal privacy are involved. Commercial mediation organizations and mediators shall keep confidential information learned during mediation, unless all parties give written consent to disclosure or disclosure is otherwise required by law.
第20条
商事调解员与争议事项有利害关系,或者存在其他可能导致当事人对其中立性、公正性产生合理怀疑情形的,该商事调解员应当及时向当事人披露,并退出调解。当事人均同意由该商事调解员继续调解的,应当以书面形式约定。在与争议事项有关的诉讼或者仲裁中,商事调解员存在依法应当回避情形的,应当回避。
Where a commercial mediator has an interest in the disputed matter, or where other circumstances may cause the parties to reasonably doubt the mediator’s neutrality or impartiality, the mediator shall promptly disclose such circumstances to the parties and withdraw from the mediation. If all parties agree that the mediator may continue, such agreement shall be made in writing. In litigation or arbitration related to the disputed matter, where the mediator falls under circumstances requiring recusal by law, the mediator shall recuse himself or herself.
第21条
经商事调解无法达成协议,当事人不同意继续调解,或者存在当事人意图利用调解达到非法目的等情形的,应当终止调解。
Mediation shall be terminated where no agreement can be reached through commercial mediation and the parties do not agree to continue, or where a party intends to use mediation to achieve an illegal purpose or other such circumstances exist.
第22条
经商事调解达成协议的,除当事人另有约定外,应当制作商事调解协议,载明主要事实、争议事项和当事人达成协议的主要内容、履行方式与期限等。商事调解员应当在商事调解协议上签名并加盖商事调解组织的印章。商事调解协议的内容不得损害国家利益、社会公共利益和他人合法权益,不得违反法律、行政法规的强制性规定,不得违背公序良俗。商事调解协议具有法律约束力,当事人应当履行。
Where an agreement is reached through commercial mediation, unless otherwise agreed by the parties, a commercial mediation agreement shall be prepared, stating the main facts, disputed matters, main contents agreed by the parties, method and period of performance, and other matters. The commercial mediator shall sign the agreement and affix the seal of the commercial mediation organization. The content of the agreement shall not harm national interests, public interests or others’ lawful rights and interests, shall not violate mandatory provisions of laws or administrative regulations, and shall not contravene public order and good morals. A commercial mediation agreement has legal binding force, and the parties shall perform it.
第23条
当事人可以就商事调解协议申请司法确认,具体依照《中华人民共和国民事诉讼法》有关规定办理。商事调解协议涉及在中华人民共和国领域外执行的,当事人可以依照有关国际条约向有管辖权的外国主管机关申请执行。
The parties may apply for judicial confirmation of a commercial mediation agreement in accordance with relevant provisions of the Civil Procedure Law. Where the agreement involves enforcement outside the territory of China, the parties may apply for enforcement to a competent foreign authority in accordance with relevant international treaties.
第24条
支持商事调解组织到境外设立业务机构,开展商事调解活动。根据经济社会发展和改革开放需要,可以允许境外商事调解组织在国务院批准设立的自由贸易试验区、海南自由贸易港等区域内依照国家有关规定设立业务机构,开展涉外商事调解活动。在自由贸易试验区、海南自由贸易港等区域内,有关地方可以试点建立商事调解员独立开展涉外商事调解活动的相关制度。
Commercial mediation organizations are supported in establishing business offices overseas to conduct commercial mediation activities. Based on economic and social development and reform and opening-up needs, overseas commercial mediation organizations may be permitted to establish business offices in free trade zones approved by the State Council, the Hainan Free Trade Port and other areas in accordance with relevant state provisions, and to conduct foreign-related commercial mediation activities. In such areas, relevant localities may pilot systems for commercial mediators to independently conduct foreign-related commercial mediation activities.
第25条
鼓励商事调解组织、商事调解行业自律组织与境外商事调解组织、国际组织开展交流合作,积极参与国际商事调解规则制定,加强国际商事调解人才培养。商事调解行业自律组织、商事调解组织按照有关规定组织开展商事调解员培训。全国性商事调解行业自律组织负责推动商事调解员能力水平国际互认。
Commercial mediation organizations and self-regulatory organizations are encouraged to engage in exchanges and cooperation with overseas commercial mediation organizations and international organizations, actively participate in the formulation of international commercial mediation rules, and strengthen training of international commercial mediation talent. They shall organize commercial mediator training in accordance with relevant provisions. National self-regulatory organizations of the commercial mediation sector are responsible for promoting international mutual recognition of commercial mediator competence.

支持粤港澳大湾区商事调解规则衔接、机制对接,促进粤港澳大湾区商事调解协同发展。
The alignment of commercial mediation rules and coordination of mechanisms in the Guangdong-Hong Kong-Macao Greater Bay Area are supported to promote coordinated development of commercial mediation in the Greater Bay Area.
第27条
县级以上地方人民政府司法行政部门对商事调解组织开展商事调解活动进行监督管理,可以采取现场检查、查阅和复制有关资料、对有关情况进行调查、对有关人员进行约谈等措施。
Local judicial administrative departments at or above the county level shall supervise and administer commercial mediation activities conducted by commercial mediation organizations, and may take measures such as on-site inspections, consulting and copying relevant materials, investigating relevant circumstances, and conducting regulatory talks with relevant personnel.
第28条
未经司法行政部门批准,擅自以商事调解组织名义开展本条例规定的商事调解活动的,由省、自治区、直辖市或者设区的市级人民政府司法行政部门责令改正,处10万元以上30万元以下的罚款;有违法所得的,没收违法所得。
Where any organization, without approval from a judicial administrative department, conducts commercial mediation activities under this Regulation in the name of a commercial mediation organization, the judicial administrative department of a province, autonomous region, municipality directly under the Central Government, or city divided into districts shall order correction and impose a fine of not less than RMB 100,000 and not more than RMB 300,000; illegal gains, if any, shall be confiscated.
第29条
商事调解组织未按照本条例规定办理变更、注销手续,公开相关信息的,由县级以上人民政府司法行政部门责令改正,给予警告;拒不改正的,责令停业整顿,可以并处1万元以上5万元以下的罚款。商事调解组织违反本条例规定开展业务或者以不正当手段承揽业务的,由县级以上人民政府司法行政部门责令改正,给予警告,并处5万元以上10万元以下的罚款;情节严重的,依法吊销执业证书,并处10万元以上30万元以下的罚款,对其负责人给予警告,并处1万元以上5万元以下的罚款;有违法所得的,没收违法所得。
Where a commercial mediation organization fails to complete procedures for changes or deregistration, or fails to disclose relevant information as required by this Regulation, the judicial administrative department of the people’s government at or above the county level shall order correction and issue a warning; if correction is refused, it shall order suspension of operations for rectification and may impose a fine of not less than RMB 10,000 and not more than RMB 50,000. Where a commercial mediation organization conducts business in violation of this Regulation or solicits business by improper means, the same department shall order correction, issue a warning, and impose a fine of not less than RMB 50,000 and not more than RMB 100,000; if the circumstances are serious, its practice certificate shall be revoked according to law, a fine of not less than RMB 100,000 and not more than RMB 300,000 shall be imposed, its responsible person shall be warned and fined not less than RMB 10,000 and not more than RMB 50,000, and illegal gains, if any, shall be confiscated.
第30条
商事调解员未履行保密义务造成严重后果,或者与当事人串通进行虚假调解活动,损害国家利益、社会公共利益和他人合法权益的,由县级以上人民政府司法行政部门责令改正,给予警告,并处1万元以上10万元以下的罚款;情节严重的,责令暂停1年以上3年以下商事调解业务;有违法所得的,没收违法所得。
Where a commercial mediator fails to perform confidentiality obligations causing serious consequences, or colludes with parties to conduct sham mediation activities that harm national interests, public interests or others’ lawful rights and interests, the judicial administrative department of the people’s government at or above the county level shall order correction, issue a warning, and impose a fine of not less than RMB 10,000 and not more than RMB 100,000; if the circumstances are serious, the mediator shall be ordered to suspend commercial mediation business for not less than one year and not more than three years; illegal gains, if any, shall be confiscated.
第31条
国务院司法行政部门依照本条例制定商事调解组织管理的具体办法。本条例施行前已经成立的从事商事调解的组织,继续开展商事调解活动的,应当自本条例施行之日起1年内,依照本条例的规定办理执业手续。
The judicial administrative department under the State Council shall formulate specific measures for the administration of commercial mediation organizations in accordance with this Regulation. Organizations established before this Regulation comes into force that already engage in commercial mediation activities and continue to do so shall complete practice procedures under this Regulation within one year from its effective date.
第32条
行业协会商会等开展公益性调解活动,不适用本条例。
Public-interest mediation activities conducted by industry associations, chambers of commerce and similar organizations are not subject to this Regulation.
第33条
本条例自2026年5月1日起施行。
This Regulation shall come into force on May 1, 2026.
